Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Explanor ("Company," "we," "us," or "our") regarding your use of our website and waitlist service (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.
Eligibility
You must meet the following criteria to use our Service:
- You are at least 13 years of age (or 16 in the EU) or have parental consent
- You have the legal capacity to enter into binding agreements
- You are not prohibited from using the Service under applicable laws
- You will provide accurate and complete information when joining the waitlist
Waitlist Service
Our waitlist service allows you to:
- Sign up to receive notifications when our service launches
- Receive early access invitations
- Get updates about our product development
No Guarantee: Joining the waitlist does not guarantee access to our service. We reserve the right to limit access, modify launch dates, or cancel the service at any time.
User Accounts and Information
When you join our waitlist, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Not use false or misleading information
- Not use another person's email address without authorization
- Maintain the security of your account information
Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or to solicit others to perform unlawful acts
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- To submit false or misleading information
- To upload or transmit viruses or any other type of malicious code
- To collect or track the personal information of others
- To spam, phish, pharm, pretext, spider, crawl, or scrape
- For any obscene or immoral purpose
- To interfere with or circumvent the security features of the Service
Intellectual Property
The Service and its original content, features, and functionality are owned by Explanor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. We make no representations or warranties of any kind, express or implied, including but not limited to:
- The accuracy, completeness, or reliability of the Service
- That the Service will be uninterrupted, timely, secure, or error-free
- That defects will be corrected
- That the Service is free of viruses or other harmful components
We reserve the right to modify, suspend, or discontinue the Service at any time without notice.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Explanor, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Explanor and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Fraudulent, abusive, or illegal activity
- Request by law enforcement or government agencies
- Your request to delete your account
Upon termination, your right to use the Service will immediately cease. You may unsubscribe from our waitlist at any time by contacting us or using the unsubscribe link in our emails.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Explanor operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements.
